Brian P. Brouillard II

Partner

Brian P. Brouillard II joined Davis, Pickren, Seydel and Sneed, LLP in September 2006 and is a Partner in the firm’s corporate practice group. He has a general corporate and business practice, focusing on mergers and acquisitions, business formations and strategic planning, venture capital and corporate financial transactions, corporate governance and other various commercial transactions and business matters. Brouillard also advises clients regarding various sports and entertainment matters and assists clients with trademark clearance, prosecution and licensing. He also has significant experience representing large nonprofit organizations regarding governance, strategic acquisitions and alliances, fundraising, grant-making, and general contractual matters.

He received his undergraduate degree (B.S., summa cum laude, 2003) from Auburn University. While at Auburn University, he was the 2002 Lowder Academic Support Scholarship Recipient, and member of the Golden Key International Honor Society, Phi Kappa Phi Honor Society and Beta Gamma Sigma International Honor Society.

He received his law degree (J.D., magna cum laude, 2006) from Georgia State University College of Law. Brouillard served on the editorial board of the Georgia State University Law Review as executive editor, was a pupil of the Bleckley Inn of Court, and graduated in the top 10 percent of his class.

Representative Experience

  • Corporate counsel to large, national multi-brand restaurant franchisor in connection with multi-million dollar sale of franchise to private equity firm.
  • Corporate counsel to largest individual landowner in the United States in connection with negotiation of partnership with major utility company to develop renewable energy projects in the United States, beginning with development and investment in 30 MW solar electric generating facility located in New Mexico.
  • Counsel to major international resort in connection with hosting and operation of college basketball doubleheader and tournament events, including providing strategic advice, drafting and negotiating game contracts, negotiating television contracts, and facilitating compliance with NCAA bylaws.
  • Corporate counsel to major public charity in acquisition of programs and other assets of chapter-based nonprofit organization. This included drafting and negotiation of acquisition, licensing, and chapter-affiliation agreements, as well analysis related to transaction structure, state nonprofit procedural compliance, and lobbying, employment and tax-related issues.
  • Corporate counsel to major shareholder in connection with $34 million merger of solar energy development company into international thin-film solar module manufacturer.
  • Counsel to communications company focusing on developing, owning, and operating cellular towers in the southeastern United States in connection with multi-million dollar capital raise led by private equity firm.
  • Counsel to U.S.-based subsidiary of international technology company based in Finland in connection with its U.S. organization and operations; drafting and negotiation of form purchase orders and terms and conditions as well as negotiation of product supply and distribution agreements in connection with client representation.
  • Counsel to film owner regarding release of director’s cut of major civil war film.
  • Negotiation of sponsorship agreement in connection with corporate sponsor’s status as an official corporate sponsor of the Southeastern Conference (SEC).
  • Counsel to founders, investors and employees in drafting and negotiation of shareholder agreements, limited partnership agreements, stock option and management equity agreements, and employment agreements.
  • Counsel to owner of professional sports franchises.
  • Advising for-profit and nonprofit clients in connection with structure and legal compliance of sweepstakes, contests and other promotion activities, and drafting rules and terms and conditions associated therewith.
